Regium Concierge Third Party Supplier Code of Conduct

1. Purpose and Scope
This Third Party Supplier Code of Conduct (the “Code”) sets out the standards Regium Concierge, LLC (“Regium,” “we,” “us,” or “our”) requires of every aircraft charter operator, yacht charter company, villa owner or property manager, hospitality venue, event organizer, driver, or other independent provider (each, a “Supplier”) engaged to fulfill a Client request, wherever in the world that Supplier is located. As a global concierge company, Regium works with Suppliers across many countries, and this Code applies uniformly regardless of the Supplier's location. This Code applies whenever Regium refers a Client to a Supplier or coordinates a booking on a Client's behalf, and is incorporated by reference into any vendor agreement, referral arrangement, or preferred partner listing between Regium and a Supplier.
2. Licensing, Insurance, and Regulatory Compliance
- Suppliers must hold and maintain all licenses, certifications, permits, and registrations required by law to operate in their respective industry and jurisdiction, wherever in the world that jurisdiction may be, including aviation operating certificates issued by the applicable civil aviation authority, maritime documentation consistent with International Maritime Organization standards, hospitality and short term rental permits, and local business licenses.
- Suppliers must maintain insurance coverage appropriate to their service, including liability, property, and, where applicable, passenger or guest coverage, at levels consistent with the industry standard in the country where the Supplier operates.
- Suppliers must comply with all applicable local, national, and international laws governing their operations, including safety, labor, consumer protection, and cross border transport laws.
3. Safety Standards
- Suppliers are solely responsible for the safe operation, maintenance, and staffing of any aircraft, vessel, vehicle, property, or venue used to fulfill a Client request.
- Suppliers must promptly disclose to Regium any safety incident, regulatory action, license suspension, or material change in operating status that could affect a confirmed or prospective Client booking.
- Suppliers must maintain equipment, properties, and facilities in a condition that meets applicable safety codes and reasonable industry standards.
4. Client Treatment and Service Standards
- Suppliers must treat Regium Clients with professionalism, discretion, and courtesy consistent with the premium standard of service Regium represents to its Clients.
- Suppliers must honor the terms, pricing, and availability confirmed to Regium in writing, and must promptly notify Regium of any change, delay, or cancellation affecting a Client booking.
- Suppliers may not solicit a Regium Client to book directly and bypass Regium on future engagements arising from a referral made by Regium, for a period of twenty four months following the referral, except with Regium's written consent.
5. Confidentiality and Data Handling
- Suppliers must treat Client names, contact information, itineraries, and preferences shared by Regium as confidential, and may use that information solely to fulfill the specific booking for which it was provided.
- Suppliers may not retain, sell, share, or use Client information for independent marketing or any purpose beyond the specific engagement without Regium's prior written consent and, where applicable, the Client's consent.
- Suppliers must maintain reasonable safeguards to protect Client information from unauthorized access or disclosure and must promptly notify Regium of any data incident involving Client information.
6. Ethical Standards and Prohibited Conduct
- Suppliers must not engage in bribery, kickbacks, or undisclosed commissions in connection with a Regium booking, and must comply with applicable anti corruption laws, including the U.S. Foreign Corrupt Practices Act and the UK Bribery Act, regardless of where the Supplier is based.
- Suppliers must not engage in human trafficking, forced labor, or exploitative labor practices anywhere in their operations or supply chain, and must comply with applicable modern slavery and forced labor laws, including the UK Modern Slavery Act where applicable.
- Suppliers must not discriminate against Clients or guests on any basis prohibited by applicable law in the country where the Service is provided.
- Suppliers must not be, and must not be owned or controlled by, a person or entity subject to applicable trade sanctions, including those administered by the U.S. Department of the Treasury's Office of Foreign Assets Control.
- Suppliers must disclose any actual or potential conflict of interest that could affect the fairness of pricing or availability offered to a Regium Client.
7. Reporting Concerns
Any Client, Supplier, or member of the public who becomes aware of a violation of this Code should report the concern to Regium at bookings@regiumconcierge.com. Regium will review reported concerns and reserves the right to suspend or terminate a Supplier relationship for a violation of this Code.
8. Consequences of Non Compliance
A material violation of this Code is grounds for immediate removal of a Supplier from Regium's referral network, termination of any preferred partner status, and, where appropriate, notification to the relevant Client and, if required by law, regulatory authorities. This Code does not create a partnership, joint venture, agency, or employment relationship between Regium and any Supplier, and Regium's referral of a Client to a Supplier does not make Regium a guarantor of that Supplier's performance.
9. Acknowledgment
By accepting a referral or booking from Regium, or by appearing as a preferred partner in Regium's network, a Supplier acknowledges and agrees to comply with this Code.
